Terms of Service

Welcome to Prism Wallet, a mobile application provided by DiCarlo Software Solutions LLC ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our mobile application and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Use of the Services

1.1 Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.

1.2 Account Registration

To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

1.3 Personal Use

The Services are provided for your personal, non‑commercial use only, unless otherwise authorized in writing by DiCarlo Software Solutions LLC.

2. Nature of the Services (Important Disclosures)

Prism Wallet is a financial data aggregation and analytics application. The Services allow you to view, organize, and analyze financial information obtained from third‑party providers.

  • Prism Wallet is not a bank, broker‑dealer, investment advisor, or money transmitter.
  • We do not provide financial, legal, or tax advice. Any insights or recommendations are for informational purposes only and should not be relied upon as professional advice.
  • We do not initiate transactions, move funds, or execute payments on your behalf.

You are solely responsible for all financial decisions you make based on information displayed in the Services.

3. Financial Data Integration

3.1 Third‑Party Providers

We integrate with third‑party financial data providers such as Plaid to retrieve your financial account information with your authorization. By linking an account, you authorize us and our providers to access and retrieve your financial data on your behalf.

We do not receive or store your bank login credentials. Access is provided through secure, token‑based connections in read‑only mode.

3.2 Data Usage

Your financial data is used solely to provide the Services, including displaying balances, transactions, and personalized insights. We do not sell your financial data.

4. AI and Personalization

We may use artificial intelligence and machine learning technologies to provide personalized features and insights. These systems operate using your data to improve your experience within the Services. We do not use your financial data to train shared or public models, and your data is not used to personalize other users’ experiences.

5. Subscriptions and Payments

5.1 Subscription Management

Subscriptions are managed through RevenueCat and your mobile platform’s app store (Apple App Store or Google Play).

5.2 Billing

All billing, renewals, cancellations, and refunds are handled by your app store provider. DiCarlo Software Solutions LLC does not process payments directly and is not responsible for billing errors, payment disputes, or refund processing.

6. User Conduct

You agree that you will not:

  • Violate any applicable law or regulation
  • Use the Services for any unlawful, fraudulent, or abusive purpose
  • Attempt to gain unauthorized access to any system or account
  • Interfere with or disrupt the security or operation of the Services
  • Upload or transmit malicious code, viruses, or harmful content

7. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or used the Services in a harmful or unlawful manner.

You may terminate your account at any time through the app. Upon termination, your right to use the Services will immediately cease.

8. Intellectual Property

All content, software, designs, trademarks, and other materials provided through the Services are owned by or licensed to DiCarlo Software Solutions LLC and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON‑INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DICARLO SOFTWARE SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless DiCarlo Software Solutions LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will update the effective date and may provide additional notice within the app or by email. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
